Transactions & M&A
Acquisition and disposal, from origination to funded completion.
The firm advises sponsors, investors and contractors who are buying or selling infrastructure businesses. That covers stakes in Public Private Partnership project companies, infrastructure operating businesses, and corporate acquisitions in the sector. The work runs from screening and valuation, through negotiation and acquisition finance, to completion. It is led by a partner who has done it as principal, on both sides of the table.
How the work runs.
SCREEN
Targets are tested against the client's strategy at explicit Go/No-Go gates. Capital and management time follow only the opportunities that pass.
VALUE
Each target is valued on a decision-grade financial model, built to be questioned by boards and lenders. The model is stress-tested to forensic-review standard, with risk, sensitivity and scenario analysis.
NEGOTIATE
Negotiation is led by a partner who has bought and sold businesses as principal. The client has someone at the table who has sat on both sides of it.
FUND
Acquisition finance is raised in competition across five capital pools. Lenders and investors offer competing terms for the same transaction.
COMPLETE
Partner-led support continues through lender due diligence to completion. Due diligence, documents and funding are brought to a single completion date.

PPP project-company M&A
The firm’s Chief Executive was responsible for UK and Ireland M&A on the main board of Sonoco Products Company, a US Fortune 500 company. He proposed, researched and negotiated the acquisition of competitors, and raised the acquisition finance from UK banks.
The same main-board responsibility covered the sale side. He negotiated and completed the sale of Sonoco’s 50 per cent interest in a joint venture in Ireland to Jefferson Smurfit, a large-company negotiation and transaction. He also ran the disposal of a board-mills division. A client selling a business is advised by someone who has sold them.
As lead bid director of the NYOP consortium, the firm’s Chief Executive bought PPP project companies and operating businesses as the consortium’s route into the market. They included Operon, a UK facilities-management company, and the Ruthin and North Yorkshire Schools project companies. Each was screened, negotiated, funded and completed as principal.
A sponsor can enter or leave a mature project by buying or selling a stake in the project company.
